PartnertaxAI is an AI-powered tax research and workflow platform designed for tax professionals and business owners. The Service includes AI-generated tax guidance, document review, lead management and related features. The Service is a tool to assist users in their work and does not replace professional judgment.

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must be at least 18 years old to create an account.
• You must notify us immediately of any unauthorized use of your account by contacting support@partnertax.ai.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulations.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Interfere with or disrupt the Service, servers, or networks connected to the Service.
• Scrape, crawl, or use automated means to access the Service beyond normal usage.
• Share your account credentials with third parties or allow unauthorized access.
• Upload malicious content, viruses, or harmful code.
• Resell, sublicense, or redistribute the Service without our written consent.

The AI-generated responses, memos, analyses, and document reviews provided by PartnertaxAI are for informational purposes only and do not constitute legal, tax, or professional advice. While we strive for accuracy and provide citations from authoritative sources (IRC, IRS publications, state regulations), AI-generated content may contain errors, omissions, or outdated information.

You are solely responsible for verifying the accuracy of any information before relying on it for tax filings, client advice, or compliance decisions. PartnertaxAI is a research assistant, not a substitute for professional expertise and judgment or for advice from a qualified tax professional.

We do not guarantee that AI responses will be complete, accurate, current, or suitable for any particular purpose.

• AI Outputs. You may use AI-generated responses and memos for your professional purposes. However, we retain the right to use anonymized and aggregated query patterns to improve the Service.

• Certain features of the Service require a paid subscription.
• Subscription fees are billed in advance on a monthly or annual basis as selected at the time of purchase.
• Fair use. Features described as "unlimited" are intended for ordinary professional use by a single account holder and are subject to reasonable fair-use safeguards designed to prevent automated, scripted, or abusive usage patterns. If your usage approaches these safeguards in the course of normal work, contact support@partnertax.ai and we will accommodate legitimate professional needs.
• We reserve the right to change pricing with 30 days' prior notice. Price changes will not affect your current billing period.
• If payment fails, we may suspend access to paid features until payment is resolved.
• You can cancel at any time to stop future charges; cancellation takes effect at the end of your current billing period.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in our Privacy Policy.

The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT ANY AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR CURRENT. YOU USE THE SERVICE AT YOUR OWN RISK.

To the maximum extent permitted by law:

• PartnertaxAI and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claim arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
• We are not liable for any errors, omissions, or inaccuracies in AI-generated content, or for any decisions or actions you take based on such content.

You agree to indemnify and hold harmless PartnertaxAI and its affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

• You may close your account at any time by contacting support@partnertax.ai.
• We may suspend or terminate your account if you violate these Terms, engage in harmful activity, or fail to maintain payment.
• Upon termination, your right to use the Service ceases immediately. We may retain your data as described in our Privacy Policy.
